Terms and Conditions

These terms and conditions (“Agreement”) set forth the general terms and conditions of your use of the Tripwizy service platform (“Tripwizy Platform”). This platform consists of the following:
- The website https://tripwizy.com (“Website”)
- The interactive maps available at https://[name].tripwizy.com (“Interactive Map”)
- The application for creating and updating interactive maps https://app.tripwizy.com (“Backend”)
- All “Tripwizy” mobile applications deployed in the stores (“Mobile Applications”)
- As well as any associated product or service (collectively, “Services”).
This Agreement is legally binding between you (“User”, “you” or “your”) and Tripisgreat LLC (operating as “Tripwizy”, “Tripisgreat”, “we”, “us” or “our”), owner of the registered trademark Tripwizy. If you are entering into this Agreement on behalf of a business or other legal entity (“Organization”), you represent that you have the authority to bind that entity to this Agreement, in which case the terms “User,” “you,” or “your” shall refer to that entity. If you do not have such authority, or if you do not agree with the terms of this Agreement, you must not accept this Agreement and may not access or use the Services. By accessing and using the Services, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement. You acknowledge that this Agreement is a contract between you and Tripwizy, even though it is electronic and is not physically signed by you, and it governs your use of the Services.
Accounts and membership
Registration is required to access the Backend. It is not required to access other elements of the Platform, but it may be requested by certain Interactive Maps or Mobile Applications to access all of the features offered. If you create an account, you must enter your email address in the registration form and choose a password, or use any other authentication method that we may offer.
You can only create one Tripwizy account per email address. Your account is personal and you cannot transfer it to someone else. When an Organization has multiple collaborators, each collaborator must have their own individual account, associated with their email address.
You are responsible for the security of your account and you are fully responsible for all activities that occur under the account and any other actions taken in connection with it. We may, but are not obligated to, monitor and review new accounts before you may sign in and start using the Services. Providing false contact information of any kind may result in the termination of your account. You must immediately notify us of any unauthorized use of your account or any other breaches of security. We will not be liable for any acts or omissions by you, including any damages of any kind incurred as a result of such acts or omissions. We may suspend, disable, or delete your account (or any part thereof) if we determine that you have violated any provision of this Agreement or that your conduct or content would tend to damage our reputation and goodwill. If we delete your account for the foregoing reasons, you may not re-register for our Services. We may block your email address and Internet protocol address to prevent further registration. In case of deletion, data related to the account (created maps, contents, etc.) may be deleted or made inaccessible.
Ownership of maps and user management
When a User creates a map on the Platform from the Backend, they become the Owner. The Owner specifies during creation whether they are creating this map for their own account or for an Organization’s account. If they create this map for their own account, they are then the legal owner of the map (“Legal Owner”). If they create this map on behalf of their Organization, the Organization is the Legal Owner. The User then specifies the name and contact information of the Organization. In this case, the User acts as a representative of the Organization and acknowledges having the necessary authority to bind it.
Each User can have access to one or more maps, and maps can be shared between multiple Users. Each User has specific rights for each map: Owner, Administrator, Can edit, Can view.
Following the creation of a map by a User, they have the “Owner” right.
The Owner can invite other Users to join the map by entering their email addresses. Each invited User receives a notification and must create or use their own Tripwizy account to access the map.
Invited Users can be assigned different levels of rights:
– Can view: access to information, without the ability to modify the map,
– Can edit: ability to make changes to the map,
– Administrator: same rights as the Owner, including inviting new Users and managing rights.
The Legal Owner is solely responsible for the map, its use, the content published on it, and the management of access rights granted to other Users. If the Legal Owner is an Organization, all Users acknowledge that they are acting on behalf of that Organization.
The User with Owner rights can decide to transfer ownership. Such a transfer can only be made to another User attached to the map and having an active account. The Owner who made the transfer then becomes an Administrator.
An Owner or Administrator User can decide at any time to withdraw a User’s access to the map, provided that it is not themselves or the Owner.
Tripwizy shall not be held liable for disputes between Users related to the management of rights or the transfer of ownership. These decisions are the sole responsibility of the Owner or Administrators, without intervention or liability from Tripwizy.
Tripwizy Platform
License
Subject to the terms of these Terms and Conditions, Tripwizy grants you a limited, revocable, non-transferable, and non-exclusive license.
If you have a user account created from a Mobile Application of the Platform, this license gives you the right to download, install, and use a copy of the application in object code form only on an interactive wireless device that you own or control.
If you have a user account created from an Interactive Map, this license gives you the right to connect to the Interactive Maps and use all the features that require authentication (favorites management, etc.).
If you have a user account created from the Backend of the Platform, this license gives you the right to connect to the Backend and use the various features offered by the Backend.
When certain features are subject to a subscription, access to these features is conditional upon full and prior payment of the corresponding fees.
The license is strictly limited to your own needs (or those of your Organization, if applicable), excluding any independent commercial exploitation of the Platform or redistribution.
In all cases, you may not derive or attempt to derive the source code of all or part of the elements of the Platform, allow a third party to derive or attempt to derive this source code, or reverse engineer, decompile, disassemble, or translate any application or any part thereof. Tripwizy and its licensors hold all intellectual property rights related to the Platform, including its software, interfaces, databases, content, designs, trademarks, and logos, as well as any modification, improvement, or update.
Updates
Tripwizy may from time to time, in its sole discretion, develop and provide updates to the Platform, which may include upgrades, bug fixes, patches, other error corrections, and/or new features (collectively, including related documentation, “Updates”).
Updates may also modify or delete in their entirety certain features and functionalities.
You agree that Tripwizy has no obligation to provide any updates or to continue to provide or enable any particular features or functionality.
Updates are made in a completely transparent manner for the user. They may lead, on a case-by-case basis, to a temporary unavailability of the Platform.
Regarding the Mobile Applications of the Platform, depending on your mobile device settings, when your mobile device is connected to the Internet:
- the Tripwizy Application will automatically download and install all available updates; or
- you may receive a notification or be prompted to download and install available updates when opening the Application
In this case, you must promptly download and install all updates and acknowledge and agree that the Tripwizy Applications or parts thereof may not function properly if you do not. Tripwizy cannot be held responsible for any malfunction or access limitation resulting from the non-downloading or non-installation of updates.
You further agree that all Updates will be deemed part of the Platform and will be subject to all the terms and conditions of this Agreement.
Billing and Payments
General Rules
You must pay all fees and charges related to your account in accordance with the rates and billing terms in effect at the time of payment. Tripwizy reserves the right to modify its products, Services and prices at any time.
We may, at our sole discretion, refuse or cancel any order, or limit the quantities purchased per account, credit card, billing address and/or shipping address. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the e-mail and/or billing address/phone number provided at the time the order was made.
Subscriptions via the Backend (Stripe)
Subscriptions related to the creation and management of interactive maps are made from the Backend and are attached to a specific map, whether it is created for an individual User or an Organization.
Payments are managed exclusively by Stripe, which handles transactions, automatic renewal, invoice issuance, tax collection, and payment method management. Tripwizy does not retain your payment information. By subscribing to a subscription, you also agree to Stripe’s terms and conditions.
Prices are displayed exclusive of tax. VAT or any other applicable tax may be added depending on your country and status (individual, company, association, etc.). When paying, you can indicate an intra-community VAT number, which may, in some cases, allow you not to be charged the corresponding tax. Stripe applies the corresponding tax rules.
Any subscription is charged in advance for the chosen period and is automatically renewed unless cancelled in advance via the Backend. No refunds are granted in the event of early termination during a period already begun. In the event of a change of plan, a pro-rata adjustment is applied automatically.
In the event of non-payment, automatic reminders are sent. If the situation persists beyond fifteen (15) days, the subscription is automatically terminated. If the linked map then exceeds the limits of the free offer and is published online, it is automatically hidden. The Owner is informed by e-mail and can regularize or adapt their map.
Purchases via mobile applications (App Store / Google Play)
Certain Services or premium content (e.g., enhanced map versions) may be purchased directly through mobile app stores (App Store, Google Play). In this case, your payment is processed exclusively by the store concerned and is subject to its own terms and conditions and refund policies. Tripwizy does not retain any payment data relating to these transactions and cannot intervene in the billing methods defined by these platforms.
Duration
This Agreement takes effect on the date of your first acceptance and remains in force for an indefinite period, unless terminated in accordance with the provisions of these Terms and Conditions.
Paid subscriptions taken out via the Backend or Mobile Applications are concluded for the initial period chosen (monthly or annual, as the case may be) and are automatically renewed for successive periods of the same duration, unless previously cancelled by the User or by Tripwizy in accordance with the applicable provisions.
Accuracy of information
The content and information published on the Interactive Maps (including, without limitation, addresses, opening hours, descriptions or itineraries) are provided by the entities that manage these maps via the Backend (e.g. tourist offices or other partner organizations)
Each Backend User is solely responsible for the accuracy, updating and truthfulness of the information he/she publishes. Tripwizy does not guarantee the accuracy or completeness of this information and cannot be held liable for errors, omissions or consequences resulting from the use of this information by other Users, in particular tourists using the Interactive Maps.
The information displayed on the Platform is provided for information purposes only and the end user remains responsible for verifying its accuracy and timeliness with official sources.
Tripwizy reserves the right to modify, correct or delete any content that is manifestly erroneous, obsolete or contrary to this Agreement, without this constituting a general obligation of monitoring.
Third party services
Third-party Services include, but are not limited to, payment, messaging, translation, mapping services, as well as any other external service that the Platform may provide access to.
If you decide to enable, access or use third-party services, be aware that your access to and use of such other services are governed solely by the terms and conditions of such other services, and we do not endorse, are not responsible and make no representations regarding any aspect of such other services, including, without limitation, their content or the manner in which they handle data (including your data) or any interaction between you and the provider of such other services. You irrevocably waive any claim against Tripwizy with respect to such other services. Tripwizy is not responsible for any damages or losses caused or alleged to be caused by or in connection with your activation, access to or use of such other services, or your reliance on the privacy practices, data security processes or other policies of such other services.
You may be required to register or log in to these other services on their respective platforms. By activating any other service, you expressly authorize Tripwizy to disclose your data to the extent necessary to facilitate the use or activation of that third-party service. Data sharing is limited to information strictly necessary to enable the activation or use of the third-party service in question. These services process your data under their own responsibility and in accordance with their respective privacy policies.
In particular, payment transactions are processed directly by the payment service provider concerned, under its sole responsibility. Tripwizy does not collect or store your payment data.
Advertisements
Tripwizy reserves the right to display or offer, as part of the use of the Services, advertisements or sponsored content from third parties.
Any correspondence, transactions or relationships you may establish with these advertisers or sponsors are solely your responsibility and that of the third party concerned. Tripwizy does not control or endorse the content of these advertisements and shall not be liable for any consequences arising from your interactions with such third parties.
Links to Other Resources
Although the Services may link to other resources (such as websites, mobile applications, etc.), we are not, directly or indirectly, implying any approval, association, sponsorship, endorsement, or affiliation with Tripwizy, unless specifically stated herein. Some of the links on the Services may be “affiliate links.” This means if you click on the link and purchase an item, Tripwizy will receive an affiliate commission, which incurs no additional cost to you. We are not responsible for examining or evaluating, and we do not warrant the offerings of, any businesses or individuals or the content of their resources. These resources are operated by independent third parties, under their sole responsibility. We do not assume any liability for the actions, products, services, and content of any other third parties. You should carefully review the legal statements and other conditions of use of any resource which you access through a link on the Services.
Prohibited Uses
In addition to other terms as set forth in this Agreement, you are prohibited from using the Services: (a) for any unlawful purpose; (b) to solicit others to perform or participate in any unlawful acts; (c) to violate any international, federal, provincial or state regulations, rules, laws, or local ordinances; (d) to infringe upon or violate our intellectual property rights or the intellectual property rights of others; (e) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability; (f) to submit false or misleading information; (g) to upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Services, third party products and services, or the Internet; (h) to spam, phish, pharm, pretext, spider, crawl, or scrape; (i) for any obscene or immoral purpose; (j) to interfere with or circumvent the security features of the Services, third party products and services, or the Internet; (k) to make or attempt any fraudulent or unauthorized payment; or (l) to interfere with the integrity or performance of the Platform, including by overloading, denial-of-service attack, or misuse in violation of the intended purpose.
We reserve the right to terminate your use of the Services immediately if you violate any of the prohibited uses.
Termination
You may terminate your account and discontinue using the Services at any time by following the procedure provided in the Backend or via the App Stores for Services subscribed to in this manner. Termination is effective immediately, but no refunds are granted for any subscription periods already commenced unless expressly provided otherwise.
Tripwizy reserves the right to suspend or terminate your account, cards, or access to the Services, at any time and without notice, if:
– you violate the provisions of this Agreement;
– you fail to meet your payment obligations after a grace period;
– your behavior or content harms the reputation, security, or proper functioning of the Platform;
– you use the Services in an abusive, fraudulent, or unlawful manner;
– to terminate an inactive account in accordance with the Prolonged Inactivity clause.
In the event of termination by Tripwizy for any of the above reasons, you will immediately lose access to the relevant Services and no refund will be due. Tripwizy may also delete or hide any card exceeding the limits of the free offer.
The provisions of this Agreement which, by their nature, should survive termination (including intellectual property, limitation of liability, indemnification and dispute resolution) shall continue in effect.
Prolonged Inactivity
Tripwizy reserves the right to suspend or delete any free account that has remained inactive for a continuous period of twelve (12) months. Inactivity is defined as the absence of login to the Backend or significant use of the Services during this period.
However, if the inactive account is associated with a published card accessible to Internet users, the card will remain available. In this case, the User’s account will be marked as “Dormant Account” and may be limited in its functionality (e.g. inability to create new cards), but will not be deleted as long as it is the only User attached to the card.
Tripwizy will send an email notification to the account owner before any suspension or deletion, with a period of thirty (30) days to reconnect, reactivate their account or transfer ownership of the card to another User in their Organization.
In the event of permanent deletion of an inactive account not attached to a published card, all associated data may be permanently deleted.
Intellectual Property Rights
“Intellectual Property Rights” means all present and future rights conferred by statute, common law or equity in or in relation to any copyright and related rights, trademarks, designs, patents, inventions, goodwill and the right to sue for passing off, rights to inventions, rights to use, and all other intellectual property rights, in each case whether registered or unregistered and including all applications and rights to apply for and be granted, rights to claim priority from, such rights and all similar or equivalent rights or forms of protection and any other results of intellectual activity which subsist or will subsist now or in the future in any part of the world.
This Agreement does not transfer to you any intellectual property rights owned by Tripwizy or its licensors. All rights, title and interest in and to the Platform and Services remain the exclusive property of Tripwizy.
Any content available on the Platform, including designs, text, graphics, images, information, software, audio files and other content, and their selection and arrangement, is the exclusive property of Tripwizy or its licensors. You are prohibited from modifying, copying, distributing, reproducing, republishing, downloading, displaying, posting, transmitting or selling all or any part of such content, except as expressly permitted by this Agreement. Automated data extraction (robots, scraping, etc.) is prohibited.
The content you create or import via the Platform (e.g. places, routes, descriptive texts, images) remains your property or that of your Organization. However, you grant Tripwizy a worldwide, irrevocable, non-exclusive, royalty-free and transferable license to host, display and distribute such content as part of the operation and promotion of the Platform, including the use of captures or excerpts of content for illustrative purposes. You also authorize Tripwizy to reference your public maps on the Platform, including through pages listing or highlighting maps accessible to Internet users, in order to increase their visibility.
On the other hand, any incidental content you contribute to the Services, such as reviews, comments, suggestions or feedback, is irrevocably granted to Tripwizy, which may use, reproduce and exploit it freely for any purpose.
Trademarks
“Tripwizy” and all other trademarks, service marks, graphics and logos used in connection with the Services are trademarks or service marks of Tripwizy or their respective owners, and some of them are registered with the European Union Intellectual Property Office (EUIPO) or other authorities.
Access to and use of the Services does not grant you any right or license to use the name “Tripwizy” or any other trademark, service mark, graphic, logo or domain name owned by Tripwizy or any third party, unless you have prior written permission.
Commercial References
Unless you expressly object in writing, you authorize Tripwizy to use your trade name, trademarks and/or logo as a commercial reference, including on its website, in presentations or marketing materials.
Privacy
Your use of the Services is also governed by our Privacy Policy, a copy of which is located at https://tripwizy.com/privacy. By using the Services, you agree to the terms of the Privacy Policy.
Disclaimer
To the fullest extent permitted by applicable law, you agree that the Service is provided “as is” and “as available” and that your use of the Services is at your sole risk. We expressly disclaim all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Services will meet your requirements, or that the Service will be uninterrupted, timely, secure or error-free; nor do we warrant the results that may be obtained through the use of the Service or the accuracy or reliability of any information obtained through the Service, or that defects in the Service will be corrected. You understand and agree that any material and/or data downloaded or otherwise obtained through the use of the Service is at your sole discretion and risk, and that you will be solely responsible for any damage or loss of data resulting from the download of such material and/or data. We do not warrant any goods or services purchased or obtained through the Service or any transactions entered into through the Service, unless otherwise stated. No advice or information, whether oral or written, obtained by you from us or through the Service, shall create any warranty not expressly stated herein.
Force Majeure
Tripwizy shall not be liable for any failure or delay in the performance of its obligations due to events beyond its reasonable control, including, without limitation: natural disasters, fires, floods, pandemics, wars, acts of terrorism, civil unrest, strikes, breakdowns or interruptions of communication networks, electricity or the Internet, failures of infrastructure or third-party providers (including Stripe or the App Stores), governmental or regulatory decisions, or any other event constituting force majeure under applicable law.
In the event of such an event, Tripwizy may suspend the performance of the Services for the duration of the event and for the reasonable period necessary for recovery. If the event of force majeure continues beyond sixty (60) days, each party may terminate this Agreement without compensation, by written notice to the other party.
Limitation of Liability
To the fullest extent permitted by applicable law, in no event shall Tripwizy, its affiliates, directors, officers, employees, agents, suppliers, or licensors be liable to any person for any indirect, incidental, special, punitive, cover, or consequential damages (including, without limitation, damages for loss of profits, revenue, sales, goodwill, use of content, impact on business, business interruption, loss of anticipated savings, or loss of business opportunity), however caused, under any theory of liability, including, without limitation, contract, tort, warranty, breach of statutory duty, negligence, or otherwise, even if the liable party has been advised of the possibility of such damages or could have foreseen them. To the maximum extent permitted by applicable law, the aggregate liability of Tripwizy and its affiliates, officers, employees, agents, suppliers, and licensors arising out of or in connection with the Services shall not exceed the greater of one U.S. dollar (USD 1) or the total amount actually paid in cash by you to Tripwizy for the one (1) month period immediately preceding the first event or occurrence giving rise to such liability. The above limitations and exclusions shall apply even if this remedy does not fully compensate you for any losses or fails of its essential purpose.
Indemnification
You agree to indemnify and hold Tripwizy and its affiliates, directors, officers, employees, agents, suppliers and licensors harmless from and against any liabilities, losses, damages or costs, including reasonable attorneys’ fees, incurred in connection with or arising from any third-party allegations, claims, actions, disputes, or demands asserted against any of them as a result of or relating to your Content, your use of the Services or Platform, your violation of any laws or third party rights, or your willful misconduct or gross negligence.
Severability
The rights and obligations set forth in this Agreement apply only to the extent permitted by applicable law. If any provision or part of a provision is deemed illegal, invalid, or unenforceable by a court of competent jurisdiction, that provision shall, to the extent possible, be interpreted or adjusted to make it enforceable while preserving the original intent of the parties. The other provisions of the Agreement shall remain fully valid and in effect.
Assignment of Contract
You may not assign or transfer your rights and obligations under this Agreement without the prior written consent of Tripwizy.
Tripwizy may freely assign, transfer or delegate its rights and obligations under this Agreement, in whole or in part, including in connection with a merger, acquisition, reorganization or sale of assets, without prior notice or consent from you.
Dispute Resolution and Mediation
The formation, interpretation and performance of this Agreement and any disputes arising therefrom shall be governed by the laws of the State of New Mexico, United States, without regard to its conflict of laws rules. The exclusive jurisdiction and venue for any action shall be the courts located in New Mexico, and you hereby submit to their personal jurisdiction. You waive any right to a jury trial. The United Nations Convention on the International Sale of Goods does not apply to this Agreement.
Prior to any legal action, the parties will seek in good faith to resolve the dispute amicably within thirty (30) days of notification.
Consumer Users in the European Union: You may use a consumer mediator free of charge to resolve a dispute amicably. The contact details of the competent mediator will be provided on request. You can also use the European online dispute resolution platform.
Business Users (B2B): The parties may agree in writing to submit their dispute to institutional arbitration (e.g. under the ICC or AAA rules). In the absence of an express agreement, the above jurisdiction provisions shall apply.
Any legal or arbitration proceedings shall be conducted in the English language. This Agreement may be translated into other languages, but only the English version shall prevail in the event of any difference in interpretation.
Modifications and Amendments
We reserve the right to modify this Agreement or its terms related to the Services at any time at our discretion. When we do, we will revise the updated date at the bottom of this page. We may also notify you in other ways at our discretion, such as through the contact information you have provided.
An updated version of this Agreement will be effective immediately upon the posting of the revised Agreement unless otherwise specified. Your continued use of the Services after the effective date of the revised Agreement (or such other method of consent specified at the time of the amendment) will constitute your consent to those changes.
Acceptance of these terms
You acknowledge that you have read this Agreement and agree to all its terms and conditions. By accessing and using the Services, you agree to be bound by this Agreement. You also represent that you have the legal capacity to enter into this Agreement and, if applicable, the necessary authority to bind the Organization you represent.
If you do not agree to be bound by the terms of this Agreement, you are not authorized to access or use the Services.
By continuing to use the Services after changes are posted, you agree to be bound by the Agreement as amended.
